1. Introduction

Welcome to AgencyKey. These Terms of Service ("Terms") govern your access to and use of the AgencyKey platform, including all associated services, features, content, and applications (collectively, the "Service") provided by SANDA LAURENŢIU-BOGDAN PERSOANĂ FIZICĂ AUTORIZATĂ, a company registered in Romania under CUI 42724874, Registry of Commerce No. F2020000181251, with its registered office at Aleea Narciselor Nr. 1, Bl. D2, Sc. 2, Ap. 25, Drobeta-Turnu Severin, Mehedinţi, Romania ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. Please read them carefully before proceeding.

2. Definitions

  • "Account" means the user account you create to access the Service.
  • "User" means any individual or entity that accesses or uses the Service.
  • "Creator Account" means an OnlyFans account managed through the Service.
  • "Agency" means a business entity or team that manages one or more Creator Accounts using the Service.
  • "Content" means any text, images, media, data, or other materials uploaded, transmitted, or displayed through the Service.
  • "Subscription" means the paid plan selected by the User to access the Service.

3. Eligibility

To use the Service, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

4. Account Registration

To access the Service, you must create an Account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

You agree to:

  • Provide truthful and accurate information during registration and keep it up to date.
  • Not share your Account credentials with any unauthorized third party.
  • Notify us immediately at legal@agencykey.com if you suspect any unauthorized access to your Account.
  • Not create more than one Account per individual without our consent.

We reserve the right to suspend or terminate Accounts that contain false or misleading information, or that violate these Terms.

5. Description of the Service

AgencyKey is a customer relationship management (CRM) platform designed for agencies and individuals who manage OnlyFans creator accounts. The Service provides tools for:

  • Managing multiple OnlyFans creator accounts from a unified dashboard.
  • Tracking and analyzing subscriber interactions, messaging, and revenue.
  • Automating messaging workflows and fan engagement.
  • Managing team members with role-based access control and shift scheduling.
  • Monitoring performance analytics and financial metrics.
  • Organizing media vaults and content distribution.

The Service is provided "as is" and "as available." We continuously improve the Service and may add, modify, or remove features at our discretion with reasonable notice.

6. User Obligations

By using the Service, you agree to:

  • Comply with all applicable laws and regulations, including but not limited to Romanian law, EU regulations, and the laws of your jurisdiction.
  • Use the Service only for its intended purpose of managing OnlyFans creator accounts.
  • Ensure that you have the necessary rights and authorizations to manage any Creator Accounts linked to the Service.
  • Not use the Service to engage in any activity that is illegal, harmful, or violates the rights of others.
  • Maintain the security of your Account and promptly report any security breaches.
  • Not interfere with or disrupt the integrity or performance of the Service.

7. Prohibited Uses

You may not use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Infringe upon the intellectual property rights or privacy rights of any third party.
  • Transmit any viruses, malware, or other harmful code through the Service.
  • Attempt to gain unauthorized access to the Service, other Accounts, or any related systems or networks.
  • Use automated scripts, bots, or scrapers to access the Service without our prior written consent.
  • Engage in any form of harassment, abuse, or discrimination through the Service.
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Resell, sublicense, or redistribute the Service without our explicit authorization.
  • Use the Service to manage content involving minors or any illegal content.

8. Intellectual Property

The Service, including but not limited to its design, code, graphics, logos, trademarks, text, and all other content and materials (collectively, "Company IP"), is owned by or licensed to SANDA LAURENŢIU-BOGDAN PERSOANĂ FIZICĂ AUTORIZATĂ and is protected by copyright, trademark, and other intellectual property laws of Romania, the European Union, and international treaties.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. This license does not grant you any ownership rights in the Company IP.

You retain ownership of any Content that you upload or transmit through the Service. By uploading Content, you grant us a limited license to process, store, and display such Content solely for the purpose of providing the Service.

9. Payment Terms

9.1 Subscription Plans

Access to the Service requires a paid Subscription. The available plans, pricing, and features are described on our website and may be updated from time to time. All prices are stated in the currency indicated at the time of purchase and are exclusive of applicable taxes unless otherwise stated.

9.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). Your Subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.

9.3 Payment Methods

We accept the payment methods displayed during checkout. You are responsible for providing valid and up-to-date payment information.

9.4 Refund Policy

Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us at legal@agencykey.com within 14 days of the charge. We will review your request in accordance with applicable Romanian and EU consumer protection laws. Consumers within the EU may exercise their right of withdrawal within 14 days of purchase in accordance with Directive 2011/83/EU, provided that the Service has not been fully performed with prior express consent.

9.5 Price Changes

We reserve the right to modify our pricing at any time. Any price changes will take effect at the start of the next billing period following notice to you. Continued use of the Service after a price change constitutes acceptance of the new pricing.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SANDA LAURENŢIU-BOGDAN PERSOANĂ FIZICĂ AUTORIZATĂ and its directors, employees, partners, agents, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • Any damages arising from your use of or inability to use the Service.
  • Any damages arising from unauthorized access to or alteration of your transmissions or data.
  • Any interruption, suspension, or termination of the Service, whether planned or unplanned.

In no event shall our total aggregate liability exceed the amount you have paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SANDA LAURENŢIU-BOGDAN PERSOANĂ FIZICĂ AUTORIZATĂ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Any Content you upload, transmit, or make available through the Service.

12. Service Availability and Modifications

We strive to ensure the Service is available at all times, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or other operational reasons.

We reserve the right to modify, update, or discontinue any part of the Service at any time. We will provide reasonable notice of any material changes that may affect your use of the Service.

13. Termination

13.1 Termination by You

You may terminate your Account at any time by contacting us at legal@agencykey.com or through the Account settings in the Service. Upon termination, your right to use the Service will cease immediately. No refunds will be issued for the remaining period of a prepaid Subscription unless required by applicable law.

13.2 Termination by Us

We may suspend or terminate your Account and access to the Service at any time, with or without notice, if:

  • You breach these Terms.
  • We are required to do so by law.
  • Your use of the Service poses a security risk or may cause harm to other Users or the Service.
  • Your Account has been inactive for an extended period.

13.3 Effect of Termination

Upon termination, your right to access and use the Service will cease immediately. We may delete your Account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including but not limited to intellectual property, limitation of liability, indemnification, and governing law) shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Where applicable, the mandatory provisions of European Union law, including but not limited to the General Data Protection Regulation (GDPR) and consumer protection directives, shall apply.

15. Dispute Resolution

15.1 Amicable Resolution

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute amicably by contacting us at legal@agencykey.com.

15.2 Mediation and Jurisdiction

If the dispute cannot be resolved amicably within 30 days, either party may submit the dispute to the competent courts of Romania. For EU consumers, disputes may also be submitted to the Online Dispute Resolution (ODR) platform provided by the European Commission at https://ec.europa.eu/consumers/odr.

15.3 Consumer Protection

Consumers in Romania may also file complaints with the National Authority for Consumer Protection (ANPC). Nothing in these Terms affects the statutory rights of consumers under applicable EU or Romanian law.

16. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and, where required by law, notify you via email or through the Service.

Your continued use of the Service after any changes to these Terms constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your Account.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and SANDA LAURENŢIU-BOGDAN PERSOANĂ FIZICĂ AUTORIZATĂ regarding the use of the Service.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

The failure of SANDA LAURENŢIU-BOGDAN PERSOANĂ FIZICĂ AUTORIZATĂ to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
